Terms of service
Last updated October 18, 2026. Plain-English summary first; the summary is not a substitute for the terms below it.
1. The parties
“We” are Syberplex, doing business as FarmerSites, 2355 Fairview Ave #121, Roseville, MN 55113. “You” are the farm or business purchasing a plan. These terms, the plan description on our pricing page at the time of purchase, and your setup invoice form the agreement.
2. Fees
The setup fee is one-time and payable half on acceptance and half at launch (or in full on acceptance, your choice). The monthly plan fee begins at launch and is billed monthly in advance. Fees are in US dollars. Third-party costs (domain registration, ordering-platform subscriptions and transaction fees, premium email) are yours and are disclosed before you commit. Work beyond your plan’s included monthly time is quoted first and billed at $95/hour in 15-minute increments.
3. What we deliver
A website on the plan you chose, built from your intake answers and materials, with two rounds of revisions before launch. We host it, maintain SSL, perform daily backups, apply security updates, monitor uptime, and make content changes within your plan’s included time and response targets. Response targets are business-day targets, not guarantees.
4. Your responsibilities
Provide accurate information and materials you have the right to use (photos, logos, text). Review the site before launch. Keep your contact and billing details current. Comply with laws applicable to your business, including food-safety, labelling and sales-tax rules; we don’t provide legal or tax advice.
5. Ownership
You own your domain name, your content, your photos and the finished design of your site. We retain ownership of our underlying platform, code, templates and illustration library, and grant you a licence to use them as part of your site for as long as you’re on a plan. On cancellation we provide an export of your content, images and design files in standard formats.
6. Term and cancellation
The initial term is six months from launch. After that the plan continues month-to-month. Either party may cancel with notice by email; cancellation takes effect at the end of the current billing month. Setup fees are non-refundable once work has begun. If you cancel before launch, you pay for work completed to date, capped at the setup fee.
7. Acceptable use
Sites may not be used for unlawful content or activity, or to send spam. We may suspend a site that is compromising our infrastructure or other clients, and will tell you promptly if we do.
8. Warranties and liability
We’ll perform the services with reasonable skill and care. Otherwise the services are provided as-is. To the extent permitted by law, our total liability under this agreement is limited to the fees you paid in the twelve months before the claim, and neither party is liable for indirect or consequential losses (including lost sales). Nothing limits liability that cannot be limited by law.
9. Changes to these terms
We may update these terms for new clients at any time. For existing clients, material changes take effect 30 days after we email you.
10. Governing law
Minnesota law governs this agreement. Disputes will be resolved in the state or federal courts located in Ramsey County, Minnesota.
